HYO Trial License Agreement

This Agreement is a legal contract between you (the “Licensee”) and Shanghai Huayang Yuanqi Technology Co., Ltd. (the “Licensor”) concerning the downloading, installation, and use of the Huayung Smart Operations Platform / Huayang CMDB Community Edition (the “Software”).

By downloading, installing, or using the Software, you acknowledge that you have read and agree to be bound by all the terms of this Agreement.

1. License Grant

Subject to your compliance with all terms of this Agreement, the Licensor grants you a free, non-exclusive, non-transferable, and revocable license to:

download and install the Software;
deploy the Software in a production environment for both commercial and non-commercial internal business operations; and
use the Software within your organization.

2. Restrictions on Use

You shall not, and shall not permit any third party to:

resell, sublicense, transfer, or otherwise commercially redistribute the Software or any modified version thereof, or provide it as part of any paid product or service to any external party;
independently redistribute the original installation package, compiled binary, or any copy of the Software;
remove, alter, or obscure any copyright notice, trademark, or other proprietary marking contained in the Software; or
reverse-engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent expressly permitted by applicable law.

3. Intellectual Property

The Software and all copies thereof, including their structure, organization, source code, interface design, and related documentation, are and shall remain the sole property of the Licensor and its licensors, including all rights of ownership, copyright, trademark, and other intellectual property rights. This Agreement does not constitute a transfer of any intellectual property rights; it grants only the limited right of use set forth in Section 1.

4. Disclaimer

The Software is provided “AS IS”, without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, the Licensor expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and security. The Licensee assumes all responsibility and risk for the use of the Software and is solely responsible for data backup and system security.

5. Limitation of Liability

In no event shall the Licensor or its affiliates be liable for any direct, indirect, incidental, special, or consequential damages (including but not limited to loss of profits, business interruption, or loss of data) arising out of or in connection with the use of, or inability to use, the Software, even if the Licensor has been advised of the possibility of such damages.

6. Termination

If the Licensee breaches any term of this Agreement, this license shall terminate automatically without further notice. Upon termination, the Licensee must immediately cease using the Software and destroy all copies and derivative works in their possession. Sections 3, 4, 5, and 7 shall survive termination of this Agreement.

7. Governing Law and Amendments

The execution, validity, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.

The Licensor reserves the right to amend this Agreement from time to time; amended versions will be published on the official website. The Licensee's continued use of the Software after the effective date of such amendment shall constitute acceptance of the amended terms.
